Welcome to Gulingle Technology ("we" or "GULINGLE") website building, software development, AI operations, and digital services. By accessing this site or using our services, you agree to these Terms. If you do not agree, please stop using the site and related services.

1. Scope of services

Our services include but are not limited to: corporate websites and independent stores, custom Web/App development, AI tools and agent integration, SEO/GEO and ad conversion tracking, site security hardening and managed operations, training and consulting. Specific scope, deliverables, and timelines are defined in a project proposal or written contract agreed by both parties.

2. Inquiries and quotes

1. Information submitted via forms, email, or WeChat is used for scoping and business communication only and does not constitute a binding offer.
2. Formal cooperation is governed by a signed contract or order; quotes are generally valid for 15 calendar days unless otherwise stated.
3. We may adjust quotes due to scope changes or third-party price changes, with written confirmation before adjustment.

3. Payment and invoicing

1. Default milestone payments: deposit on signing → design/prototype approval → development acceptance → final payment on launch; exact ratios are in the contract.
2. You must pay on schedule; if payment is overdue by more than 15 days after notice, we may suspend services until settled.
3. Invoice type and details follow the contract; you must provide accurate business invoicing information.

4. Delivery and acceptance

1. We deliver design files, source code, deployment environments, or documentation per agreed milestones.
2. You must complete acceptance and provide written feedback within 7 business days after delivery; silence after that period constitutes acceptance.
3. Delays caused by your scope changes, delayed materials, or third-party review (ICP filing, app store review) are not treated as our breach.

5. Intellectual property

1. Custom project deliverables (after full payment): website/UI design, custom source code, deployment configuration, etc. belong to you or are shared per contract; we may showcase de-identified technical approaches (without your trade secrets or brand assets).
2. Our pre-existing assets: generic libraries, internal tools, methodology templates, and brand marks remain GULINGLE property unless explicitly transferred in contract.
3. You must ensure text, images, trademarks, and other materials you provide do not infringe third-party rights; you bear liability for related disputes.

6. Confidentiality and data security

Both parties must keep confidential business and non-public information obtained during cooperation. We handle personal data per our Privacy Policy and apply reasonable technical measures. Server and database access occurs only as necessary for the project and is handed over or destroyed per agreement after completion.

7. Warranty and maintenance

1. Unless otherwise agreed, 30 days of free defect repair after launch (defects within our deliverables only; excludes new requirements and third-party failures).
2. Post-warranty operations, iterations, and security reviews may be quoted under an annual maintenance contract or per ticket.
3. Issues caused by your code changes, unauthorized plugins, or leaked admin credentials are not covered by free warranty.

8. Limitation of liability

1. We are not liable for interruptions or losses caused by force majeure, carrier failures, cloud outages, or regulatory changes beyond our control.
2. In any case, our liability for indirect loss, lost profits, or data loss from this site or a single project contract is capped at fees already received under that project contract.
3. Case studies, metrics, and results on this site illustrate capabilities only and do not promise specific business outcomes.

9. Changes and governing law

We may revise these Terms; revisions are posted here with an updated effective date. Continued use constitutes acceptance. These Terms are governed by the laws of the People's Republic of China; disputes are subject to the courts of Guangzhou with jurisdiction.
